These Terms of Service (“Terms”) govern your access to and use of the Accelesource website, browser extension, and related services (“Accelesource” or the “Service”). By creating an account, starting a trial, purchasing a subscription, or using the Service, you agree to these Terms.
1. The Service
Accelesource is a product-research tool for online resellers. Features may include product identifier extraction, product matching, marketplace research, seller and offer information, profitability estimates, eBay research, saved research, and other sourcing tools. Features, supported websites, data sources, and availability may change over time.
2. Independent Research Tool
Accelesource is an independent product-research tool and is not affiliated with, sponsored by, or endorsed by the retailers or marketplaces referenced by the Service unless expressly stated otherwise.
Product information, UPCs, matches, prices, sales estimates, rankings, seller information, fees, profitability calculations, and other research may be incomplete, delayed, estimated, or inaccurate. You are responsible for independently verifying information before purchasing inventory, creating listings, setting prices, or making other business decisions.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You agree to provide accurate account information and to notify us if you believe your account or credentials have been compromised.
You may not share, sell, transfer, or provide your account or authentication credentials to another person in a manner intended to avoid applicable account, trial, or subscription limits.
4. Free Trials and Promotional Access
Accelesource may offer free trials or promotional access. Trial duration and eligibility may vary. Promotional codes may have separate eligibility, duration, or usage limits. Unless otherwise stated, access to paid Research features ends when the applicable trial or promotional period expires unless you begin a paid subscription.
We may limit or revoke trial or promotional access in cases of fraud, abuse, duplicate-account creation intended to obtain repeated trials, or other misuse of the Service.
5. Paid Subscriptions
Paid subscriptions are billed at the price and billing interval displayed when you subscribe. Subscription fees are processed by our payment provider. Unless otherwise stated at checkout, subscriptions automatically renew at the applicable billing interval until canceled.
You may cancel a subscription through the available account or billing-management tools. Cancellation generally prevents future renewal; access may continue through the end of the already-paid billing period. Except where required by law or expressly stated otherwise, fees already paid are non-refundable.
We may change subscription prices in the future. Any price change applicable to an existing recurring subscription will be handled in accordance with applicable law and payment-provider requirements.
6. Acceptable Use
You may use Accelesource only for lawful purposes and in accordance with these Terms. You may not attempt to bypass authentication, subscription controls, rate limits, or other technical restrictions; interfere with the Service or its infrastructure; use the Service to distribute malware or conduct unlawful activity; reverse engineer the Service except where applicable law expressly permits it; or use automated methods to abuse or overload the Service.
7. Third-Party Websites and Services
Accelesource works with or links to third-party websites, marketplaces, retailers, APIs, and service providers. Your use of third-party services is subject to their own terms, policies, and availability. We do not control third-party websites and are not responsible for their content, policies, changes, outages, or actions.
8. Availability and Changes
We work to keep Accelesource available and useful, but we do not guarantee uninterrupted or error-free operation. Retailers and marketplaces may change their websites, data, APIs, or access rules, which can affect Accelesource features. We may add, modify, suspend, or discontinue features when reasonably necessary to operate or improve the Service.
9. Intellectual Property
Accelesource, including its software, design, branding, and original content, is owned by us or our licensors and is protected by applicable intellectual-property laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose while your access is authorized.
10. Disclaimer of Warranties
To the maximum extent permitted by law, Accelesource is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant that product matches, identifiers, marketplace information, estimates, calculations, or other data will be accurate, complete, current, or suitable for a particular business decision.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Accelesource and its owners, operators, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, inventory losses, marketplace-account actions, or business interruption arising from or related to your use of or inability to use the Service.
To the maximum extent permitted by law, our aggregate liability for claims arising from or relating to the Service will not exceed the amount you paid to Accelesource for the Service during the twelve months immediately preceding the event giving rise to the claim.
12. Suspension and Termination
We may suspend or terminate access when reasonably necessary to protect the Service, other users, third parties, or our legal rights, including for material violations of these Terms, fraud, abuse, security threats, or attempts to circumvent access controls. You may stop using the Service at any time.
13. Privacy
Our Privacy Policy explains how Accelesource handles information associated with the Service and is incorporated into these Terms by reference.
14. Changes to These Terms
We may update these Terms as the Service develops or as legal, technical, or business requirements change. The updated Terms will display a revised “Last updated” date. Where required, we will provide additional notice of material changes.
15. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
